Take-Two Interactive adquire Gearbox Entertainment
Take-Two Interactive Software Inc. has officially acquired Gearbox Entertainment, following the completion of a divestment agreement with Embracer Group.
The agreement, initially announced on March 28, 2024, has now been finalized after fulfilling all necessary conditions. As part of the deal, Embracer issued shares to Take-Two to settle the purchase price and certain performance-based obligations (earnout obligations).
This transaction involved the issuance of a total of 10,404,106 class B shares of Embracer. The price per share varied depending on the specific obligation to be settled, ranging from 79.30 SEK to 98.78 SEK per share.

Following the share issuance, Embracer now has a total of 1,349,944,863 shares outstanding. These consist of 54 million class A shares (each with ten voting rights) and 1,295,944,863 class B shares (each with one voting right). The total voting power in Embracer has increased to 1,825,540,757.
